Terms of Service

1. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account. Tell us promptly at clay@clayduncan.com if you believe your account has been compromised.

Organizations that license a tool, such as an association licensing Caravan, may create accounts for their staff, volunteers, members, participants, and sponsors. That organization's license agreement also applies to its use.

2. Use of the Services

You may use the Services only for lawful business purposes and in line with these Terms. You will not misuse the Services, including by sending unsolicited or unlawful messages, uploading malicious code or content you have no right to share, attempting to access accounts or data that are not yours, interfering with the Services, or copying, reselling, or reverse engineering them except as the law expressly permits.

3. Paid Plans and Billing

Some Services require a paid plan or license. Prices, billing terms, renewal, and cancellation are shown at checkout and in any license agreement you accept, which controls if it conflicts with these Terms. Payments are processed by Stripe.

Sponsor or participant payments collected through Caravan are processed by Stripe on behalf of the association that receives them. Refund requests for those payments go to that association.

4. Your Content

You keep ownership of content you submit, such as listings, photos, routes, and contact details. You give us a limited license to host, process, and display it only to provide and improve the Services. You confirm you have the rights and consents needed to submit it.

5. Text Messages and Email

Some tools send email or text messages, such as Caravan event invitations, results links, and reminders, at the request of the organization running the event. Message and data rates may apply. You can reply STOP to opt out of texts or use the unsubscribe link in emails where offered.

6. Third-Party Services

The Services work with third-party providers, such as Stripe for payments and connected CRM or AI tools you choose to link. Your use of those providers is subject to their own terms. We are not responsible for third-party services.

7. Our Rights

We own the Services and all related software, designs, and trademarks. We may update or change features from time to time. We may suspend or end access that violates these Terms or puts the Services or other users at risk, and will give notice when reasonable.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated output may contain errors; review it before relying on it.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLAYTOOLS.AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR $100 IF YOU PAID NOTHING.

10. Indemnity

You will defend and indemnify ClayTools.ai against third-party claims arising from your content or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. Paid plans end as described in their checkout or license terms. Sections that by their nature should survive, including 4, 8, 9, 10, and 12, survive termination.

12. Governing Law and Changes

These Terms are governed by the laws of the State of Alabama, and disputes will be resolved in the state or federal courts located in Alabama.

We may update these Terms. If a change is material, we will post the new version with a new effective date and, where appropriate, notify account holders. Continued use after the effective date means you accept the updated Terms.

13. Copyright Complaints

We respect copyright. If you believe material on the Services infringes your copyright, contact us at clay@clayduncan.com with your name and contact information, a description of the copyrighted work, a description of the material you believe is infringing and where it appears on the Services, a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law, and a statement that the information in your notice is accurate. We review complaints and may remove material and, in appropriate circumstances, end the accounts of repeat infringers.
